Job Description:

Are you a Corporate Paralegal?  Do you have 5 – 10 years experience as a paralegal with a corporation?  If so, an international communications corporation in Fairfax County, VA wants to meet you!    $75K DOE! 

 

Qualifications:

 

·         5 – 10 years corporate experience as a paralegal.  Must have experience in a corporation.  At least 5 years experience as a corporate paralegal in a publicly traded company in order to qualify.  Law firm experience as well preferred.   

·         Good tenure! 

·         Bachelor’s degree from a four-year college or university required. In addition, a paralegal certificate is preferred. 

·         Strong ability to read, interpret, and comprehend documents such as legal and administrative rules and contract provisions.  Ability to write routine reports and correspondence. 

  • Strong ability to communicate effectively whether orally or in writing with customers, employees, senior executives and Board Members.
  • Ability to identify, define, and articulate issues/problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical and commercial instructions.
  • Proficiency in various, standard office software, e.g., Microsoft Office.
  • Proficiency in internet research skills to execute diverse tasks associated with the position.

 

Responsibilities:

 

Chosen candidate will assist the secretary function in support of the public company board, including drafting of minutes, resolutions, agenda, notices and presentations; producing board materials; administering director compensation program; and monitoring director independence.  He/she will prepare documents required to form, merge, withdraw or dissolve legal entities; establish and maintain foreign qualifications and good standing; assist with the completion of stock certificates; create and maintain corporate minute books.  He/she will assist in the preparation for and closing of various corporate transactions, including mergers and acquisitions and financing transactions.  He/she will maintain litigation docket and files; gather litigation and billing information to prepare draft responses to auditors' requests for information.  He/she will assist with the preparation of SEC filings, including Section 16(a) filings and other periodic reports.  He/she will monitor and track compliance with FCC reporting requirements. He/she will act as a liaison with outside counsel regarding the company’s patents and trademarks and monitor and maintain the company’s patent and trademarks database.  He/she will coordinate annual meeting of Shareholders that includes working with transfer agents, elections inspectors, regulatory agencies, printers as well as managing logistics of site selection, contract negotiation, preparation and delivery of materials and staffing required during the meeting. 

 

He/she will provide back up support to the Contracts Paralegal, including preparing drafting various amendments and addenda to customer contracts including trading terms, pricing promotions and other exhibits as required, and to ensure the completeness and accuracy thereof; monitoring and ensuring compliance with contract provisions which may include communication with employees, consultants, customers and vendors; reviewing proposed terms from members/vendors for conformity to company’s requirements and determine acceptable proposals; providing training in company’s contract terms and legal procedures to employees as needed; advising departments of companys contractual rights and obligations based on a literal reading of the contractual terms and conditions, and seek assistance from Associate and/or General Counsel when appropriate; o   Maintaining contract databases; acting as contract liaison between Company and its customers and vendors by reviewing and maintaining correspondence concerning contracts.
